IMATEAM INC - COPYRIGHT POLICY

1. Introduction

At IMATEAM, we respect the intellectual property rights of others and have adopted procedures for addressing copyright complaints consistent with the Digital Millennium Copyright Act ("DMCA") and other applicable intellectual property laws.

This policy outlines:

  • How to submit a copyright infringement notification
  • The counter-notification process
  • Our approach to repeat infringers
  • IMATEAM's proprietary rights

2. Copyright Complaints

We have a policy of limiting access to our Service and terminating the accounts of users who infringe on the intellectual property rights of others. If you believe that anything on our Services infringes any copyright that you own or control, you may notify IMATEAM's Designated Agent as set forth below.

Please see 17 U.S.C. ยง512(c)(3) for the requirements of a proper notification. You should note that if you knowingly misrepresent in your notification that the material or activity is infringing, you may be liable for damages, including costs and attorneys' fees, incurred by IMATEAM or the alleged infringer as the result of IMATEAM's relying upon such misrepresentation in removing or disabling access to the material or activity claimed to be infringing.

3. DMCA Process Overview

The DMCA provides a process for an owner of copyrighted material to notify an online service provider of alleged copyright infringement. Upon receipt of a valid DMCA removal notification, we will remove or disable access to the allegedly infringing content and take reasonable steps to contact the party that originally posted that content to allow it to file a counter-notification. Upon receipt of a valid counter- notification, we may restore the content in question, unless we receive timely notice from the party that requested removal that a legal action has been filed seeking a court order to restrain the alleged infringer from engaging in the infringing activity.

By submitting either a removal notification or a counter-notification as described herein, the submitting party acknowledges and agrees that we may provide copies of such notices and any information contained therein to the other participants in the dispute or to any other third parties deemed necessary by us.

4. Removal Notification Requirements

To be considered valid, your request for removal must be written and include the following:

  • A statement that you are the owner of the material that has allegedly been infringed, or a statement that you are authorized to act on behalf of the owner of the material that has allegedly been infringed.
  • Your name, address, telephone number and, if available, an email address so we may contact you.
  • A statement identifying the material you believe to be infringing and information reasonably sufficient to permit us to locate that material. (If you believe multiple copyrighted works have been infringed, you can submit a single notification with a representative list of the allegedly infringed works.)
  • A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.
  • A statement, under penalty of perjury, that the information in the removal notification is accurate.
  • Your signature. (The signature may be electronic.)

Promptly after receipt and verification of a valid removal notification, we will remove or disable access to the allegedly infringing content. We will also notify the party that posted it of your claim that the material is infringing and will give that party an opportunity to send us a written counter-notification.

5. Counter-Notification Requirements

In response to our receipt of a valid removal notice and removal of material, if you believe that the allegedly infringing material is not infringing and want us to restore it on the Service, please send a counter-notification to our designated copyright agent.

To be considered valid, your counter-notification must be written and include the following:

  • Your name, address, telephone number and, if available, an email address so we may contact you.
  • A statement identifying the material that has been removed or to which access has been disabled and the location at which the material appeared before it was removed or access to it was disabled.
  • A statement under penalty of perjury that you have a good faith belief that the material was removed or disabled as a result of a mistake or misidentification of the material.
  • A statement that you consent to the jurisdiction of the Federal District Court for the judicial district in which your address is located (or for Los Angeles County, California, if your address is outside of the United States), and that you will accept service of process from the person who sent the removal notice or an agent of such person.
  • Your signature. (The signature may be electronic.)

Promptly after receiving receipt and verification of a valid counter-notification, we will forward it to the party who submitted the original removal notification. After we send out the counter-notification, the party that submitted the original removal notification must then notify us within ten (10) business days that it has filed an action seeking a court order to restrain you from engaging in the allegedly infringing activity. If we receive such notification, we will not restore the material. If we do not receive such notification, we may reinstate the material within ten (10) to fourteen (14) days of receipt of the valid counter-notification.

6. Repeat Infringer Policy

IMATEAM maintains a policy of terminating, in appropriate circumstances, the accounts of users who are repeat infringers. We may determine at our discretion whether a user is a repeat infringer. Generally, we consider a "repeat infringer" to be a user who has been notified of infringing activity more than twice or who has had infringing material removed from the Service more than twice.

7. App Store Compliance

This Copyright Policy complies with the intellectual property requirements of both the Apple App Store and Google Play Store. Our enforcement of copyright protections and response to infringement claims follows the procedures required by these platforms.

9. Proprietary Rights and Confidentiality

As between USER and IMATEAM, title to IMATEAM and the Information (including without limitation all copies of the foregoing and all copyrights and other proprietary rights therein) shall at all times remain with IMATEAM, subject only to USER's rights under the License under Section 3 of the User Agreement. USER shall not remove or obscure any IMATEAM copyright, trademark or confidentiality notice or mark. Affixation of any such notice or mark on IMATEAM, the Information or the software shall not imply or indicate publication thereof.

USER shall hold IMATEAM and the Information in confidence.

10. Indemnification

USER shall indemnify IMATEAM and its vendors (whether vendors of Information, products, services or otherwise), defend and hold them harmless from and with respect to any liability damages (including without limitation any consequential, incidental, general, special or exemplary damages), losses, or claims which may arise, whether now or in the future, with regard to:

i. USER's use of IMATEAM Service or any aspect or service thereof; or, ii. the accuracy, authenticity, appropriateness or completeness of the Information.
